Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Swing application and the website located at https://swing.raydenis.co (collectively, the "Service"), operated by Raymond Denis, an individual sole proprietor based in New York ("I," "me," or "my").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

The Service is a personal trading automation tool that detects technical trading setups on a limited set of U.S. equity options, routes trade approval requests to the authorized user, and executes approved trades through the user's own Charles Schwab brokerage account via Schwab's Trader API. The Service is not a brokerage, not a registered investment adviser, and does not provide investment advice.

2. Eligibility and Authorized Use

The Service is intended for the sole use of Raymond Denis and any additional individuals I explicitly authorize. It is not offered to the general public. To use the Service you must:

Be at least 18 years old;
Be a U.S. resident;
Maintain a Charles Schwab brokerage account with options trading approval.

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for the security of the device from which you access the Service. You agree to notify me immediately at info@raydenis.co of any unauthorized access or security incident.

4. SMS Messaging Program

4.1 Opt-in and consent

By providing your mobile phone number and affirmatively opting in to SMS notifications through the Service's settings page, you expressly consent to receive SMS messages from the Service at the mobile number you provided.

4.2 Types of messages

The Service sends SMS messages related to:

Trade approval requests;
Trade execution confirmations;
Position alerts (stop-loss, target, time-based exit);
System status and broker reauthorization reminders;
Account security alerts.

The Service does not send marketing, promotional, or advertising SMS messages.

4.3 Message frequency

Message frequency varies. Typical usage is zero (0) to ten (10) messages per trading day, depending on market conditions and your open positions.

4.4 Message and data rates

Message and data rates may apply. Check with your mobile carrier for details of your plan. I am not responsible for charges imposed by your mobile carrier.

4.5 Opt-out

You can opt out of SMS messages at any time by replying STOP to any message from the Service. After you send STOP, you will receive one confirmation message and no further SMS messages will be sent unless you opt back in.

To opt back in, reply START or UNSTOP to the last message received, or re-enable SMS notifications in the Service's settings page.

4.6 Help

For help, reply HELP to any SMS message from the Service, or email info@raydenis.co.

4.7 Supported carriers

The SMS program supports all major U.S. mobile carriers including AT&T, Verizon, T-Mobile, and their affiliates. Wireless carriers are not liable for delayed or undelivered messages.

4.8 No sharing of mobile data for marketing

Mobile phone numbers, SMS consent records, and SMS message content will not be shared with any third parties or affiliates for marketing purposes. Sharing is limited to service providers that transmit messages on my behalf, as described in the Privacy Policy.

4.9 Changes to the SMS program

I may modify or terminate the SMS program at any time. Opting out is always free. If material changes are made to the SMS program, opted-in users will be notified through the Service or by SMS.

5. Brokerage Integration

5.1 Authorization

The Service operates on your Charles Schwab brokerage account only after you explicitly authorize access through Schwab's OAuth 2.0 flow. You may revoke this authorization at any time through your Schwab account settings or by disconnecting your account within the Service.

5.2 Your responsibility

You are solely responsible for all trades executed through your Schwab account, including trades placed by the Service with your approval. You agree to review each trade approval request carefully before approving. You are responsible for all commissions, fees, taxes, and losses resulting from trades placed through the Service.

5.3 Reauthorization

Schwab requires periodic reauthorization of Trader API access on the interval set by Schwab's Trader API terms, which Schwab may change from time to time. The Service will not be able to place or manage trades during periods when the authorization has lapsed. You are responsible for completing reauthorization promptly when prompted.

5.4 Schwab is a third party

Charles Schwab & Co., Inc. is not affiliated with, endorsed by, or responsible for the Service. Your relationship with Schwab is governed by your agreements with Schwab.

6. Not Investment Advice

The Service does not provide investment, financial, legal, or tax advice. Trading setups, signal notifications, and trade approval requests generated by the Service are the output of a pre-configured technical algorithm and are not recommendations. Options trading involves substantial risk of loss and is not suitable for all investors. Past performance is not indicative of future results. You are solely responsible for all investment decisions and should consult a qualified professional if you are uncertain.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of Charles Schwab's terms of service;
Attempt to gain unauthorized access to the Service, its systems, or other users' data;
Reverse-engineer, decompile, or disassemble the Service except to the extent permitted by law;
Use the Service to place trades for persons other than yourself;
Interfere with or disrupt the Service or the servers and networks connected to it;
Introduce malware, viruses, or other malicious code to the Service;
Use the Service to send unsolicited messages to third parties.

8. Intellectual Property

The Service, including all software, design, text, and content, is owned by Raymond Denis or his licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

I do not warrant that:

The Service will be uninterrupted, secure, or error-free;
Trading signals, approvals, or executions will be timely, accurate, or profitable;
SMS messages will be delivered promptly or at all;
Brokerage API access will be uninterrupted.

Delivery of SMS messages depends on your mobile carrier and is not guaranteed. I am not liable for delayed or undelivered SMS messages or for any trading loss that results from delay, non-delivery, or technical failure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYMOND DENIS AND THE SERVICE'S AGENTS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL MY TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ME FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the foregoing limitations apply only to the extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Raymond Denis and the Service's agents and service providers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service;
Your violation of these Terms;
Your violation of any third party's rights, including Charles Schwab's terms or any applicable law.

12. Termination

I may suspend or terminate your access to the Service at any time, with or without cause or notice, including if I believe you have violated these Terms. You may terminate your account at any time by contacting info@raydenis.co. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10, 11, 13, and 14) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

I may update these Terms from time to time. When I make material changes, I will post the updated Terms at https://swing.raydenis.co/terms and update the "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

15. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and me regarding the Service.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver. A failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign these Terms without my prior written consent. I may assign these Terms at any time without notice.
